Your Agreement to the Terms of Use

Please note that capitalized words have specific definitions stated somewhere in this document. "Teradata" refers to Teradata Corporation and its affiliates. "Terms of Use" refers to all the terms and conditions in this, or subsequently published versions of this, document ("General Terms of Use"); all more specific terms and conditions published with specific Content or Services that become applicable to you ("Specific Terms of Use"); and any notices Teradata provides to you by any means. This "Website" refers to all Content and Services on webpages that have a hypertext link to the General Terms of Use.

By accessing this Website, you agree to be bound by all the terms and conditions in the Terms of Use.  Your rights to the Content and Services are conditioned on your compliance with the Terms of Use. If you don't agree to the current General Terms of Use, discontinue your access to this Website and destroy all copies of all Content (except Your Content and Public Content) in your possession. By accessing specific Content or Services, you also agree to be bound by the current Specific Terms of Use associated with that Content or Service.  If you don't agree to the Specific Terms of Use, discontinue your access to the associated Content and Services and destroy all copies of such Content (except Your Content and Public Content) in your possession.

In the event of a conflict between the General Terms of Use, Specific Terms of Use, and any notices Teradata provides to you, the terms take precedence in descending order as follows: the most recent applicable notice, the applicable Specific Terms of Use, and the General Terms of Use. Teradata may change the Terms of Use at any time for any reason without notice, so you are advised to regularly check for new versions of the Terms of Use. 

No Obligation to Provide or Retain any Content or Services

"Content" refers to all information, documents, software, communications, audio, video, images, and other content on the Website. "Services" refers to all information retrieval, downloading, communication and other services on the Website. "Teradata Content" refers to all Content provided by Teradata or any of its employees or agents. "Your Content" refers to all Content provided by you, which will generally consist of your postings to communication services such as bulletin boards, forums, and chat rooms. "Public Content" refers collectively to Your Content, Teradata Public Content, and the Content of others dedicated to the public domain pursuant to the Terms of Use.

You do not have any obligation to provide, or continue to provide, any Content. If you believe that any of Your Content may infringe upon the rights of others and you want the webmaster to remove such Content from the Website, notify the webmaster with a detailed description of such Content and the webmaster will use commercially reasonable efforts to remove such Content from the Website. If you believe that any Content may infringe upon your copyrights and you want the webmaster to remove such Content from the Website, follow the procedure described below in Claims Of Copyright Infringement.

Teradata does not have any obligation to provide, or continue to provide, any access, Content, or Services. Teradata may modify or remove any Content (including Your Content) or modify or discontinue any Services at any time for any reason without notice.

Disclaimers

This Website, including all Content and Services, is provided AS-IS without warranty of any kind, either express or implied. For example, there are no warranties that the Content or Services are accurate, bug-free, virus-free, complete, useful, merchantable, fit for any purpose, non-infringing, or secure. No Teradata employee or agent is authorized to create a warranty or other legal obligation on behalf of Teradata via this Website (for example, via representations made in forum communications).

Access to this Website and the Services are provided on an AS-AVAILABLE basis. For example, there is no warranty that any Content or Services will be uninterrupted or available at any time.

You assume any and all risks associated with your use of the Website. For example, you assume any and all risk of damage associated with: your reliance on any Content, your disclosure of information on the Website, unauthorized access to your information on the Website, loss of your information on the Website, exposure to offensive, abusive or other wrongful conduct of any Website user, and violation of the Terms of Use by any Website user. Use caution in disclosing information about yourself, your family, and your employer.

Some jurisdictions restrict disclaimers of warranty, so the above disclaimers may not fully apply to you.

Limitations of Liability

Teradata and its Representatives will not be liable to you, or anyone claiming through you, for any damages of any nature arising out of your access to, use of, downloads from, submissions to, or anything in any way related to this Website. Without limiting the foregoing, Teradata and its Representatives will not be liable to you, or anyone claiming through you, for any indirect, incidental, consequential, special or punitive damages, even if advised of the possibility of such damages. "Representatives" refers to Teradata's officers, directors, employees, agents, and suppliers.

Some jurisdictions restrict limitations of liability, so the above limitations may not fully apply to you. 

Use, Restrictions on Use, Monitoring

You agree to access and use this Website only for its intended purpose, namely to improve knowledge regarding the use of Teradata products and to assist in development of applications compatible with Teradata products. Examples of prohibited uses include: 

• Do not use the Website for any unlawful or harmful purpose.
• Do not use the Website to defame, disparage, harass, or threaten others.
• Do not use the Website to violate the rights of others.
• Do not use the Website in a manner that could damage, disable, or exhaust Teradata network or computer resources.
• Do not use the Website to promote any goods or services without Teradata's written consent.
• Do not provide Content that is profane, obscene, or similarly inappropriate.
• Do not provide Content that contains viruses or other harmful computer code.
• Do not provide Content unless you own the Content or have all consents legally required to provide the Content. For example, do not provide confidential information of others (such as your employer or fellow employee) without their consent, copyrighted material without the consent of the copyright owner, or an image of a person without that person's consent.
• Do not falsely identify yourself, your employer, or other affiliations.
• Do not falsely identify the source of any Content.
• Do not remove any legal notices from any Content.
• Do not access, or attempt to access, the account of another user.
• Do not bypass, or attempt to bypass, any security measures associated with the Website, including measures associated with a user's account, specific Content or Services, or other Teradata network or computer resources.
• Do not extract email addresses or other the personal data from the Website.
• Do not interfere with any other user's use of the Website.
• Do not cause Teradata to incur costs by your use of the Website.

If you become aware of any prohibited uses of the Website, you agree to promptly notify the webmaster with a detailed description of the prohibited use and to reasonably cooperate with Teradata in its investigation. However, Teradata is not obligated to enforce the Terms of Use against any user under any circumstances. 

Teradata is not obligated to monitor use of the Website, but, in its discretion, may monitor your use of the Website at any time. Teradata may disclose the information it gathers about your use of the Website as (1) it deems necessary to comply with applicable law or (2) is otherwise consistent with the Privacy Policy.

Registration

If you must register to obtain access to specific Content or Services, you agree to provide accurate information upon registration and to promptly update the registration information as required to maintain its accuracy. Your registered account is personal to you and you agree not to disclose your password to anyone. If you become aware of any unauthorized use of your account, you agree to promptly notify the webmaster with a description of the unauthorized use and to reasonably cooperate with Teradata in its investigation. 

Content Rights You Grant and Receive

Copyright in this Website is owned by Teradata Corporation. Teradata reserves all rights not expressly granted under the Terms of Use, and no other rights are granted by implication or estoppel or otherwise.

You agree that your content is not private or confidential. You warrant that you have all the rights and consents necessary to provide Your Content and to grant the rights to Your Content that you grant in the Terms of Use. You warrant that to the best of your knowledge the use of Your Content by Teradata and other users will not violate any rights of privacy, confidentiality, trade secrets, copyrights, trademarks, publicity or any other rights of any nature of any Person (except patent rights). "Person" refers to an individual or legal entity.

Unless you submit Your Content subject to a conspicuous license or reservation of rights, you hereby dedicate all present and future intellectual property rights (except patent rights) you hold in Your Content to the public domain. For example, you agree that any Person obtaining a copy of Your Content may freely reproduce, distribute, publish, transmit, publicly perform, publicly display, modify, prepare derivative works of, lease, license, sublicense, or otherwise transfer all or part of Your Content, as well as to authorize others to do any or all of the above, for any purpose, commercial or non-commercial, and in any way, including by methods that have not yet been conceived. You agree that this dedication relinquishes all rights you, your heirs, and your successors have to enforce such rights with respect to Your Content, whether by lawsuit or otherwise. If you provide Your Content subject to a license or reservations of rights, we request that you use a standard technique (e.g., standard open source license or reservation of copyrights). Otherwise, Teradata may not post Your Content because poorly defined rights detract from the usefulness of the Content.

Some Teradata Content is subject to Teradata or third Person license terms and conditions found in the Specific Terms of Use or notices associated with the content. Failure to comply with such license terms may result in severe civil liability and criminal penalties. "Teradata Public Content" refers to Teradata Content that is not subject to license terms and conditions found in Specific Terms of Use or third Person licenses. Teradata hereby dedicates all present and future intellectual property rights (except patent rights) it holds in Teradata Public Content to the public domain. For example, Teradata agrees that any Person obtaining a copy of Teradata Public Content may freely reproduce, distribute, publish, transmit, publicly perform, publicly display, modify, prepare derivative works of, lease, license, sublicense, or otherwise transfer all or part of Teradata Public Content, as well as to authorize others to do any or all of the above, for any purpose, commercial or non-commercial, and in any way, including by methods that have not yet been conceived. Teradata agrees that this dedication relinquishes all rights it and its successors have to enforce such rights with respect to Teradata Public Content, whether by lawsuit or otherwise.

When exercising the above rights with respect to Content (even Public Content), attribution should be given to the authors of Content.

The trademarks, service marks, trade names, trade dress, or other source identifiers ("Marks") displayed on this Website are owned by Teradata or other third parties. Notwithstanding anything to the contrary, Teradata is not granting you any rights to any Mark. You may not use a Mark without the prior written consent of its owner. 

Notwithstanding anything to the contrary, any software provided by Teradata in a form other than source code form is not Teradata Public Content. Except to the extent permitted by applicable law, you may not take any steps to derive a source code equivalent of such software (for example, reverse assembly or reverse compilation). Unless otherwise stated in Specific Terms of Use, your rights to such software are limited to non-commercial use of such software for its intended purpose.

Some Content on the Website may embody rights owned by Teradata or by other parties under one or more patents in the U.S. and worldwide.  The presence of this content on the Website and your ability to access it do not create or convey to you any license under such patents, by implication, estoppel or otherwise.

Restricted Rights / Limited Rights Legend

The Government’s use, duplication, or disclosure of Teradata’s commercial computer software and commercial computer software documentation is subject to: (a) the Restricted Rights Notice set forth in 48 C.F.R. ¶ 52.227-14 (Rights In Data - General); (b) Teradata’s standard commercial license rights supplemented by 48 C.F.R. ¶ 52.227-19 (Commercial Computer Software - Restricted Rights); and/or (c) the limited rights and license set forth 48 CFR ¶ 252.227-7015 (Technical Data–Commercial Items), as applicable.

Termination

The Terms of Use will continue to apply until terminated, superseded, or modified by Teradata.

Without liability to you or any third Person, Teradata may at any time for any reason terminate your right to access the Website and terminate your rights to all Content (except Your Content and Public Content).

If you breach the Terms of Use, your rights to access this Website and rights to all Content (except Your Content and Public Content) automatically terminate and you must discontinue your access to this Website and destroy all copies of such Content in your possession. If you breach the Specific Terms of Use, your rights to the associated Content and Services automatically terminate and you must discontinue your access to the associated Content and Services and destroy all copies of the associated Content (except Your Content and Public Content) in your possession.

Upon termination of your right to access the Website, Teradata may delete Your Content, any registered account, and all information associated with such account, without notice to you and without liability to you or any third Person.

The rights you grant to Your Content survive any termination of your rights under the Terms of Use.

Claims of Copyright Infringement

If material on the Website may infringe your copyrights, submit a written notification ("Infringement Notice") consistent with the Digital Millennium Copyright Act, Title 17, United States Code, Section 512 ("DMCA") to the following Designated Agent:

To be effective under the DMCA, the notice must include substantially the following:

1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
2. Identification of the copyrighted work claimed to have been infringed, or if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Teradata to locate the material;
4. Information reasonably sufficient to permit Teradata to contact the complaining party, such as an address, telephone number, and if available, an electronic mail address at which the complaining party may be contacted;
5. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
6. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Upon receipt of an Infringement Notice consistent with the DMCA:

1. Teradata will remove, or disable access to, the material that is claimed to be infringing; and
2. Teradata will take reasonable steps to forward the written notification to the alleged infringer with information about the steps Teradata has taken to remove or disable access to the material.

If you want to contest the removal or disabling of Your Content for alleged copyright infringement, submit a written notice ("Counter Notice") to the Designated Agent. To be effective, the Counter Notice must include substantially the following:

1. Your physical or electronic signature;
2. Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled;
3. Your statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled;
4. Your name, address, and telephone number; and
5. Your statement that you consent to the jurisdiction of Federal District Court for the judicial district in which your address is located (or, for the Southern District of New York, if you reside outside of the United States) and that you will accept service of process from the person who provided the Infringement Notice or from an agent of such person.

Upon receipt of a Counter Notice consistent with the DMCA:

1. Teradata will provide a copy of the Counter Notice to the person who provided the Infringement Notice and inform that person that Teradata will replace the removed material, or cease disabling access to it, in 10 business days; and
2. Teradata will replace the removed material, or cease disabling access to it, not less than 10, nor more than 14, business days following receipt of the Counter Notice, unless the Designated Agent first receives notice from the person who provided the Infringement Notice that such person has filed an action seeking a court order to restrain the alleged infringer from engaging in infringing activity relating to the material on the Website.

Export Laws

You agree to comply fully with all applicable export laws and regulations of the United States (“Export Laws”) to assure that no Content is (a) exported, directly or indirectly, in violation of Export Laws; or (b) intended to be used for any purpose prohibited by the Export Laws, including, without limitation, nuclear, chemical or biological weapons proliferation.

Miscellaneous

You are solely responsible for Your Content and any harm it may cause to others. You are solely responsible for compliance with all laws applicable to you.

Teradata is not responsible for Content that is not provided by Teradata. Each user is solely responsible for the Content he or she provides to the Website and any harm it may cause to you or others.

The Website may include links to the websites of third Persons. Such links are provided for your convenience only and do not imply any endorsement of such Person by Teradata or any endorsement of Teradata by such Person. Such Person is solely responsible for its website and any harm it may cause you or others.

The views of Teradata employees and agents expressed on the Website are not necessarily the views of Teradata. The views expressed by other Website users are the views of that user and are not the views of Teradata.

New York law (excluding its choice of law rules) governs the interpretation and enforcement of the Terms of Use.  You agree and hereby submit to the exclusive personal jurisdiction and venue of the courts of the State of New York in New York County or the Federal District Court for the Southern District of New York.

You may not delegate your obligations or responsibilities under the Terms of Use without Teradata’s written consent.  If a court of competent jurisdiction finds any portion of the Terms of Use unenforceable, that portion is to be enforced to the maximum extent permissible and the remainder of the Terms of Use will continue in full force and effect.  Any failure to enforce or exercise any provision of the Terms of Use or related right shall not constitute a waiver of that right or provision. The Terms of Use are the complete agreement between you and Teradata regarding this Website.

Specific Terms of Use for the Masters Forum

Please note that capitalized words have specific definitions stated somewhere in this document. "Masters Forum" refers to all Content and Services on webpages found at the following uniform resource locator:

Access to the Masters Forum is limited to persons who achieve Teradata Certified Master status and accept these Specific Terms of Use for the Masters Forum in response to the invitation to the forum.  In any event, by accessing the Masters Forum, you agree to be bound by the Terms of Use, including the Specific Terms of Use for the Masters Forum.

Although contributors to the Masters Forum agree that the content they contribute is not confidential or a trade secret, you acknowledge that connecting the information in a specific Masters Forum posting to the contributor or the contributor’s employer may reveal confidential information. • If your employer’s agreement with Teradata includes such access, search the knowledge repositories and other resources available at Teradata @Your Service.
• Review your training materials.
• Research past postings on the Masters Forum.
• Discuss the issue with your team members and other local resources.
• Sign up for training to fill gaps in your knowledge at Teradata Education Network.
• Provide a brief, meaningful description of your inquiry in the SUBJECT line of your posting. Report the research you conducted and the specific issues you encountered in attempting to solve the problem.
