Generic Download Agreement
Many downloads can use this Agreement. Be sure to check that the characteristics match your intentions.
Duration
You should not enter a duration. The expiration is built into agreement with following language. The license can also be terminated with notice.
“Unless terminated earlier as provided herein, this agreement, including your license to the Software, will expire or terminate on the same date that your Teradata-authorized license to use the Teradata Relational Database product expires or terminates (whichever occurs first).”
Capacity Limit
You should not enter a capacity limit.
Purpose
The purpose is built into agreement with following language.
“… facilitating your Teradata-authorized license to use the Teradata Relational Database”
Notes
- Object code only (except as required for 3rd party open source compliance)
- There is no capacity limit or specific time limit on the generic download agreement.
- Cannot be used with downloads that include SUSE’s SLES.
Teradata Express Agreement
This Agreement is used for the various Teradata Express downloads. These agreements are useful for both prospects and partners. The download includes SLES xx. Per the requirements of our agreement with SUSE, the SUSE EULA for SLES xx is attached to our download agreement. If your download requires another version of SLES contact legal so that the agreement with the appropriate SUSE EULA can be updated.
Duration
You should enter the duration. If you do not, the agreement includes a failsafe 90 day expiration.

Capacity Limit

Purpose
The purpose is built into the agreement with following language. Items ii) and iv) below are useful for partners (as opposed to prospects)
i) internally evaluating the Software,
ii) internally testing the interoperability of the Software with computer applications that you have independently developed or separately acquired for your own internal use (“Your Applications”)
iii) your internal training (whether lead by you or a Teradata instructor), and
iv) demonstrating Your Applications to other persons.

You must add a trademark attribution exactly as it appears below:

Evaluation Agreement - Express Model
This Agreement is used for downloads in which you want an evaluation license with characteristics similar to the Teradata Express licenses. Pay special attention to the purpose. The rights given in this express model include rights appropriate to partners – and may not be appropriate for your purposes. You may want to choose the “Evaluation Agreement – Prospect Model” below which has narrower license rights.
Duration
You should enter the duration. If you do not, the agreement includes a failsafe 90 day expiration.

Evaluation Agreement - Express Model - Prerelease
This Agreement is the same as the Evaluation Agreement - Express Model immediately above, except that it is identified as a “Pre-Release Evaluation License Agreement” and contains the following additional language:
Pre-release Acknowledgement. Teradata has not completed development of the Software, or made the Software commercially available. You understand that Teradata may not complete development of the Software, or make the Software commercially available.

Evaluation Agreement - Prospect Model - Prerelease
This Agreement is the same as the Evaluation Agreement - Prospect Model immediately above, except that it is identified as a “Pre-Release Evaluation License Agreement” and contains the following additional language:

Viewpoint PDK Type Agreement
This Agreement is the same as the Generic Download Agreement, except that it is tied to the user’s Viewpoint license (rather than Teradata Relational Database license). This Agreement is appropriate for the Viewpoint Portlet Development Kit which is delivered in object-only form. This Agreement is not appropriate for those Viewpoint portlets that are delivered in source code form with the expectation that the user be able to make modifications, such as Viewpoint Personal Workspace Template. For those Viewpoint portlets, see the Viewpoint Portlet Agreement below.

… install and use the Software on your computer workstation (the configuration of which meets the requirements for installing the Software) solely for purposes of facilitating your Teradata-authorized license to use the Teradata Viewpoint product

Viewpoint Portlet Agreement
This Agreement is very different from all the others. It is written for the delivery of Viewpoint portlets in source code form to be modified by the user.
Duration
You should not enter the duration. The expiration is built into agreement with following language. The license can also be terminated with notice.
Unless terminated earlier as provided herein, this agreement, including your license to the Software, will expire or terminate on the same date that your Teradata-authorized license to use the Teradata Viewpoint product expires or terminates (whichever occurs first).
Capacity Limit
You should not enter a capacity limit.
Purpose
The purpose is built into agreement with following language.
…(i) modify the source code form of the Software, and
(ii) install and use the Software on Teradata Viewpoint computer servers of yours for the sole purpose of facilitating your Teradata-authorized license to use the Teradata Viewpoint product.

- Source code included with right to modify
- There is no capacity limit or specific time limit on the this agreement.
- Cannot be used with downloads that include SUSE’s SLES.
TMM Evaluation Agreement – Prospect Model
This Agreement should only be used with Teradata Mapping Manager as it has specific language to handle metadata issues. Otherwise, this Agreement is the same as the Evaluation Agreement – Prospect Model.

TMM Download Agreement – 1 Year
This Agreement should only be used with Teradata Mapping Manager as it has specific language to handle metadata issues.

General Notes
- All of these agreements are labeled “Specific Terms Of Use” because that label has significance in relation to the “General Terms Of Use” applicable to the DevX site. If you place materials on DevX without associating “Specific Terms of Use” with the materials (or otherwise reserving Teradata rights to the materials), the “General Terms of Use” will treat those materials as dedicated to the public domain (except for patent rights).
- All these agreements can be terminated early by Teradata by giving notice. This is only useful when you know the contact information of the licensee.
- Except for the Viewpoint Portlet Agreement, all licenses are for object code only. But all licenses accommodate the potential requirement for 3rd party open source to be provided in order to comply with open source licenses.
- These Agreements cannot be used for DVD installation click-through without taking into account that a different UI may be applicable. For example, instead of “
I Agree/Reject
” the UI may be “I Agree/I Do Not Agree

License Reference
A License Reference is generated for each download. Here is an explanation:

Explanation:
The Content Management System that underlies DevX has a concept of a node, which is an item of content and gets a unique ID (node id). A node is typically a web page, but it can also be things like download packages, or a download license. And a node can have revisions (which are tracked using a revision id). All revisions are permanently accessible via the CMS admin function; they are never deleted. However, only the latest revision is accessible to the DevX user. In other words, only the latest revision of the applicable download license is displayed for a download and only the latest revision of a download package is available for download.
The example License Reference can be read as follows....

is the node id (398
) and revision id (1541
) of the license.- Generic Download License is the title of the license.
7424/1029/1305058387
is the node id of the download package (for example, JDBC Driver), followed by the revision id of the download (for example,14.00.00.01)
, followed by the timestamp of when the download occurred
When the user clicks the "I Agree
" button and the download begins, data is inserted in a database showing a download for a specific user and License Reference. This allows us to track which user agreed to which license version for which download version at a specific time. This data is permanently retained. The License Reference is also included in the download license displayed to user. So if a printed version of a license is presented to us with the claim “this is what I agreed to”, we have an additional way to verify that claim and the source of the printed license.
